Tooling Ownership

Tooling (to include tooling, tooling prints, and process documentations) is to be the property of Sensata (unless otherwise agreed). The tooling will remain in the suppliers plant for processing future orders. Copies of tooling prints and process documentation must be provided to Sensata prior to tool payment. The supplier will also agree to provide necessary information to enable Sensata to complete a UCC filing, establishing proof of ownership of tooling. Sensata may remove the tooling at any time. Items may not be produced from the tooling for other customers without written authorization from Sensata.

The supplier shall keep tooling in a state of good repair and capable of producing parts to Sensata requirements. All maintenance, repair, and/or replacement costs will be assumed by the supplier.
